Terms of Service

Last updated: August 1, 2026. Please read these terms carefully before using NorthVOIP.

1. Agreement to Terms

By accessing or using NorthVOIP (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

NorthVOIP provides cloud-based business phone services, including voice calling, text messaging, voicemail, call routing, and related features (collectively, the "Services"). The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You must be at least 18 years old to use the Service.

4. Payment and Billing

Fees for the Service are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are non-refundable except as required by law or as explicitly stated in these Terms. We may change our fees at any time by posting the new fees on our website or notifying you directly. Price changes will take effect at the start of the next billing cycle.

5. Fair Use of "Unlimited" Services

Certain plans may be marketed as including "unlimited" voice minutes or messages. "Unlimited" means reasonable business use by a normal business user — it does not mean infinite, unrestricted, or commercial resale use. Voice services: Each "unlimited" user is allocated up to 3,000 minutes of outbound and inbound calling per calendar month. SMS services: Each "unlimited" user is allocated up to 1,000 SMS segments per calendar month. These thresholds represent generous fair-use soft caps, not metered billing tiers. If your usage exceeds these soft caps in two or more consecutive billing cycles, we may: (a) contact you to discuss a more suitable plan; (b) charge overage fees at $0.015 per voice minute and $0.02 per SMS segment for usage above the cap; (c) throttle or limit further usage for the remainder of the billing cycle; or (d) terminate your account with thirty (30) days' written notice if a suitable arrangement cannot be reached. Overage charges will not be applied retroactively for the first month you exceed the cap. We will notify you before any overage billing begins.

6. Prohibited Use and Acceptable Use Policy

You agree not to use the Service for any unlawful, fraudulent, or abusive purpose. Specifically prohibited uses include, but are not limited to: • Reselling, redistributing, or sublicensing the Service to third parties without written authorization. • Using auto-dialers, robocalls, blast calling, or any automated system to initiate calls or messages without human intervention. • Sending unsolicited bulk messages (spam), harassing communications, or any content that violates applicable law. • Generating excessive numbers of very short calls (under 15 seconds) to artificially inflate usage or avoid fees. • Using the Service for any illegal, fraudulent, or high-risk activity, including but not limited to telemarketing to numbers on do-not-call registries. Violation of this policy may result in immediate suspension or termination of your account, forfeiture of prepaid fees, and reporting to relevant authorities.

7. Cancellation and Termination

You may cancel your subscription at any time through your account dashboard. Cancellations take effect at the end of the current billing cycle; no refunds will be provided for partial months. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that harms the Service or other users. Upon termination, your right to use the Service ceases immediately, and we may delete your data in accordance with our data retention practices.

8. Limitation of Liability

To the fullest extent permitted by law, NorthVOIP and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. You use the Service at your own risk.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service before the changes take effect. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Delaware.
